The disclosures below apply to any output, report, intelligence, signal, summary, export, or other artifact produced by the Platform (including PDF, CSV, XLSX, DOC, and similar downloadable formats). They appear in PDF and Excel export appendices and are incorporated into our Terms of Service. They are a plain-language summary of, and cross-reference, the binding terms in the Terms of Service (and, for enterprise customers, the Master Subscription Agreement); where they overlap, those documents control.

Beta Status of the Entire Platform

The entire Ysaere platform — including every swarm workflow, every API and MCP endpoint, the Marketplace, the Studio, and every artifact-generation feature — is provided as a Beta Offering. While the platform (or any feature) is a Beta Offering, it is provided "AS IS" and "AS AVAILABLE" with all faults and without warranty of any kind. No service-level agreement, uptime commitment, or availability guarantee applies. Notwithstanding any other limitation of liability, Ysaere, Inc.'s total cumulative liability arising from or relating to any Beta Offering (including this Platform Output) will not exceed one thousand U.S. dollars ($1,000.00) in the aggregate, except where a controlling law prohibits such a cap. Any output, report, intelligence, signal, summary, export, or other artifact produced by the Platform (including PDF, CSV, XLSX, DOC, and similar downloadable formats) is designed and engineered by Ysaere, Inc (the "Ysaere" platform or the "Platform"), with content generated by artificial intelligence agents. The information provided is for general informational purposes only and is not, and should not be construed as or relied upon for, legal, financial, investment, tax, accounting, real-estate appraisal, medical, security-assessment, regulatory, or other professional advice. Nothing in any Platform Output creates any attorney-client, broker-dealer, investment-adviser, appraiser-client, physician-patient, or fiduciary relationship. You should consult your own qualified advisors regarding any decisions referenced in or informed by any Platform Output.

Not a Consumer Report — No FCRA Use

Ysaere, Inc is not a "consumer reporting agency," and no Platform Output is a "consumer report," under the U.S. Fair Credit Reporting Act, 15 U.S.C. § 1681 et seq., or under any analogous state, provincial, or foreign law. You will not use any Platform Output, in whole or in part, as a factor in establishing any person's eligibility for credit, employment, insurance, housing, tenant screening, government benefits, or any other purpose governed by the FCRA or comparable law.

Not Investment Research; Not a Recommendation

Nothing in any Platform Output is (a) an offer or solicitation to buy or sell any security, digital asset, commodity, futures contract, or financial instrument; (b) investment research prepared in accordance with U.S. Regulation Analyst Certification, EU MiFID II, or comparable investment-research standards; or (c) a personalized investment recommendation. Ysaere, Inc is not registered as an investment adviser under the Investment Advisers Act of 1940, as a broker or dealer under the Securities Exchange Act of 1934, or as a credit rating agency under the Credit Rating Agency Reform Act of 2006.

Material Non-Public Information ("MNPI")

Ysaere, Inc does not guarantee that any Platform Output is free of information that could constitute MNPI in any jurisdiction. You are solely responsible for compliance with all applicable insider-trading, securities-fraud, market-manipulation, and comparable laws in connection with your use of any Platform Output, including the U.S. Securities Exchange Act of 1934 and Rule 10b-5 thereunder.

Not an Offer or Solicitation

Nothing in any Platform Output constitutes an offer to sell, or the solicitation of an offer to buy, any security, financial instrument, or investment of any kind, nor shall it be considered an offer to provide investment advisory services or to enter into any investment management relationship.

AI-Generated Content — May Contain Errors

Platform Outputs are generated by AI agents and may contain errors, omissions, hallucinations, factual inaccuracies, outdated information, or misinterpretations of source materials. Every factual claim should be independently verified against primary sources before being used to make any business, investment, or operational decision.

Third-Party Sources

Platform Outputs may reference information obtained from third-party sources including but not limited to news outlets, regulatory filings, company publications, and publicly available data. While such sources are believed to be reliable at the time of analysis, Ysaere, Inc has not independently verified all such information and makes no representations as to its accuracy, completeness, or currency.

Third-Party Marketplace Agents

Marketplace listings are currently first-party Ysaere agents. Community publishing is not currently offered. If a community-published agent is listed later, that publisher, not Ysaere, Inc, authored its prompts and remains responsible for the agent's behavior and content. Ysaere, Inc ("Ysaere") provides hosting, execution infrastructure, safety guardrails, and cryptographic provenance. Provenance attests to pipeline integrity only, not to the truth, accuracy, or completeness of any claims in the output.

Trust Receipts — Integrity, Not Truth

Ysaere's provenance chain, Trust Receipts, and cryptographic hashes attest to the integrity of each Platform Output — that it was produced by the stated Ysaere agents at the stated time using the stated model calls, and has not been altered afterward. They do not attest to the truth, accuracy, completeness, or fitness for any purpose of any statement contained in any Platform Output.

Forward-Looking Statements

Any projections, estimates, forecasts, scenarios, predictions, or opinions expressed in any Platform Output are inherently uncertain, are subject to change without notice, and may differ materially from actual results or opinions of others. Forward-looking statements are not guarantees of future performance.

Point-in-Time Analysis

Each Platform Output reflects information available as of the date and time of its generation. Information may have changed since that time. Ysaere, Inc undertakes no obligation to update any Platform Output.

No Warranties — Provided "As Is"

Platform Outputs are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement.

Limitation of Liability

To the maximum extent permitted by applicable law, Ysaere, Inc, its officers, directors, employees, agents, and licensors shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from your use of, or reliance upon, any Platform Output, regardless of the legal theory and even if advised of the possibility of such damages. Additionally, during the Beta period, Ysaere, Inc.'s total cumulative liability arising from or relating to any Beta Offering (including this Platform Output) will not exceed one thousand U.S. dollars ($1,000.00) in the aggregate. Your sole remedy for dissatisfaction is to discontinue use of the Platform. This section is a summary: the controlling limitation-of-liability terms appear in Sections 4 and 19 of the Terms of Service and, for enterprise customers, Sections 9 and 14 of the Master Subscription Agreement.

No Fiduciary Relationship

Use of any Platform Output does not create any advisory, fiduciary, agency, attorney-client, broker-dealer, investment-adviser, appraiser-client, or similar relationship between you and Ysaere, Inc.

No Reliance

You acknowledge and agree that you will not rely on any Platform Output as the sole or primary basis for any business, investment, legal, tax, or operational decision. You will conduct your own independent due diligence and engage your own qualified advisors before acting on any content in any Platform Output.

Provenance and Verification

While the Platform employs cryptographic provenance chains to record the source and transformation of analytical content, such provenance attests only to the integrity of the analytical pipeline and not to the truth, accuracy, or completeness of any underlying facts or claims.

Confidential and Proprietary

Platform Outputs contain proprietary content owned by Ysaere, Inc. Internal use within your organization (including circulation to colleagues, internal investment committees, and advisors bound by confidentiality obligations to you) is permitted. External redistribution, public posting, or commercial use is prohibited without prior written consent, except as permitted by your subscription or license agreement with Ysaere, Inc.

Binding Individual Arbitration; Class-Action and Jury-Trial Waivers

Any claim, dispute, or controversy arising out of or relating to any Platform Output — including questions of scope, formation, validity, enforceability, arbitrability, or breach — will be resolved by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules (and, if applicable, its Supplementary Procedures for Consumer-Related Disputes), consistent with the Federal Arbitration Act (9 U.S.C. §§ 1–16). You and Ysaere each waive any right to (a) participate in a class action, class arbitration, collective action, private attorney general action, multi-plaintiff action, or any other representative or consolidated proceeding; and (b) a trial by jury. If 25 or more claims of a substantially similar nature are filed within any rolling 90-day period, bellwether procedures apply. Small-claims-court actions and injunctive relief for intellectual-property, unauthorized-access, or emergency safety matters may be brought in the state and federal courts located in Miami-Dade County, Florida. For enterprise customers, the Master Subscription Agreement applies only when incorporated by a signed Order Form.

Governing Law and Jurisdiction

These disclosures and your use of any Platform Output are governed by the laws of the State of Florida, USA, without regard to conflict of laws principles. Disputes are resolved through binding individual arbitration as set forth in the preceding section; the exclusive judicial venue for matters not subject to arbitration is the state and federal courts located in Florida.

Export Controls and Sanctions

You will not export, re-export, or transfer any Platform Output in violation of U.S. or other applicable export-control or sanctions law, including the U.S. Export Administration Regulations (EAR), International Traffic in Arms Regulations (ITAR), and regulations administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC). You represent that you are not located in, ordinarily resident in, or organized under the laws of any jurisdiction subject to comprehensive U.S. sanctions, and that you are not identified on any U.S. government restricted-party list.

Privacy and Data Subject Rights

Ysaere, Inc processes personal data in accordance with its Privacy Policy. For information about your rights under applicable data protection laws (including the GDPR and CCPA/CPRA), including rights of access, deletion, and portability, see the Privacy Policy at ysaere.com/privacy.

Governing Terms

Your use of any Platform Output is subject to Ysaere, Inc.'s Terms of Service (https://app.ysaere.com/terms), Privacy Policy (https://app.ysaere.com/privacy), AI Disclosure (https://ysaere.com/ai-disclosure/), and AI Acceptable Use policy (https://app.ysaere.com/legal/ai-acceptable-use), each incorporated herein by reference. Publisher Agreement and Marketplace Terms apply where you publish or run Marketplace agents. Enterprise Master Subscription Agreement and DPA apply only when incorporated by a signed Order Form.
